  1. Subject

    1.1. These General Terms and Conditions of Sale (hereinafter referred to as "General Conditions") govern the purchase of Products made remotely via the website alessia-alize.com (hereinafter, the "Site").

    1.2. The Site is owned and operated by Key Optical Europe S.R.L. (hereinafter "Key Optical Europe S.R.L."), with registered office in Scarperia e San Piero (Florence, Italy), Località la Torre 14h, 50038 – Business Register Number, Tax Code and VAT number IT 07135600489.

  2. Acceptance of the General Terms and Conditions of Sale

    2.1. All purchases of Products made through the Site (hereinafter, "Purchase Agreement") by users accessing it (hereinafter, "Customer") are governed by these General Conditions, the Italian Consumer Code (Legislative Decree no. 206/2005), Section II on distance contracts (Articles 50–67), the Italian regulations on e-commerce (Legislative Decree 70/2003), and Legislative Decree no. 21 of 21.02.2014 implementing the EU directive on consumer rights.

    2.2. By completing the purchase procedure, the Customer accepts and agrees to comply with these General Conditions.

    2.3. The Customer is required to carefully read and accept these General Conditions before making any purchase, as provided by Key Optical Europe S.R.L. also to allow their storage and reproduction pursuant to Article 12, paragraph 3 of Legislative Decree 70/2003.

    2.4. Key Optical Europe S.R.L. reserves the right to modify these General Conditions at any time without notice. Each Purchase Agreement will be subject to the version of the General Conditions published on the Site at the time the order is submitted by the Customer.

  3. Products

    3.1. alessia-alize.com (the "Site") is an online store offering sunglasses, prescription glasses and related accessories (cases, pendants, and bracelets), hereinafter referred to as “Products”.

    3.2. All Products are fully described on the Site within their respective categories.

    3.3. The visual representation of the Products on the Site, where available, is for reference purposes only and usually corresponds to a photographic image of the actual Products. It is provided solely to present the Products for sale, with no guarantee or commitment by Key Optical Europe S.R.L. regarding the exact correspondence between the image on the Site and the actual Product — particularly with reference to real dimensions and/or color aspects of the Product and/or packaging, or to indicative colors displayed on the Site.

  4. Purchase Procedure

    4.1. The Customer may purchase Products from the online catalog as detailed in the respective product sections and descriptions, following the instructions and procedures described on the Site.

    4.2. To purchase Products, the Customer must register by providing personal details and follow the guided registration process. The Customer must complete and submit the electronic order form provided on the Site, ensuring all required fields are filled out accurately.

    4.3. Once selected, the Products must be added to the “Cart” and the Customer can proceed to checkout.

    4.4. If the Customer needs to modify the purchase order or correct any information, they must follow the modification procedure provided on the Site. In particular, the Customer can change product quantities, add or remove items from the Cart.

    4.5. After this step, the Customer will see a summary screen of the order with a request for confirmation to proceed.

    4.6. The Customer must then select the preferred payment method among those available and complete the order by clicking the corresponding button.

  5. Contract Formation

    5.1. The publication of Products on the Site is an invitation to the Customer to make a purchase offer. The order submitted by the Customer constitutes a contractual offer and implies full knowledge and acceptance of the General Conditions.

    5.2. Each Purchase Agreement is finalized upon acceptance of the order by Key Optical Europe S.R.L., sent to the Customer via email. This confirmation will include an “Order Number” to be referenced in any communication with Key Optical Europe S.R.L. The confirmation will also reiterate the details provided by the Customer, who must verify their accuracy and promptly report any corrections. Any additional costs due to inaccurate data not promptly corrected will be borne by the Customer.

    5.3. The Customer may view the order confirmation by checking the confirmation email or by contacting Key Optical Europe S.R.L. Customer Service.

    5.4. Key Optical Europe S.R.L. reserves the right to accept or reject the Customer’s order at its sole discretion, without the Customer being entitled to any claims or compensation in case of non-acceptance.

    5.5. In particular, Key Optical Europe S.R.L. reserves the right to reject purchase proposals or cancel orders lacking sufficient guarantees of solvency or showing irregularities in payment methods or transactions, including those flagged by the credit card processing network.

    5.6. The Customer can always review the details of completed orders via their personal account area on the Site.

  6. Product Prices

    All prices are clearly listed on the Site and are inclusive of VAT.

     

  7. Invoicing and Payment Methods

    7.1. Key Optical Europe S.R.L. issues a purchase receipt via email. The invoice will reflect the data provided by the Customer at checkout. No changes to the data will be accepted after the invoice has been issued.

    7.2. Payments must always be made in advance, by bank transfer or credit card. In the case of credit cards, the charge is applied at the time of order confirmation.

    7.3. All credit card data is securely transmitted using SSL encryption and cannot be intercepted by third parties. The data entry is performed directly on the bank’s website, ensuring maximum security.

    7.4. As an online vendor, alessia-alize.com is not obliged to issue an invoice or fiscal receipt to consumers not holding a VAT number, in accordance with Article 22 of Presidential Decree 633/1972 and Article 2, letter oo) of Presidential Decree 696/1996 (as confirmed by Resolution no. 274/E of November 5, 2009). In most cases, a receipt is sufficient for warranty and customer service purposes.

    If you still wish to request an invoice, please contact Customer Service by email at info@alessia-alize.com before the order is shipped, providing your tax code. The invoice will be issued to the billing address associated with the payment method and cannot be addressed to a different name or address.

  8. Checking the Goods Upon Delivery

    8.1. At the time of delivery, the Customer must check the integrity and number of packages as stated on the delivery note, following the instructions in the "Shipping and Payment" section.

    8.2. Any damage or discrepancies must be immediately reported to the courier by writing “accepted with reservation” and specifying the reason on the delivery document. Once the document is signed without reservation, no objections regarding the external characteristics of the goods will be accepted. Hidden defects must be reported within 8 (eight) days of delivery. Any claim submitted after this period will not be considered. The Customer bears full responsibility for all declarations made.

    8.3. Force majeure events, unavailability of transport, or unforeseeable circumstances causing delivery delays, difficulties, or significant additional costs for Key Optical Europe S.r.l. will entitle the company to split, postpone, cancel, or terminate the Purchase Agreement in whole or in part. In such cases, Key Optical Europe S.r.l. will notify the Customer via email and refund any amounts already paid, excluding further compensation of any kind.

  9. Right of Withdrawal and Its Effects

    9.1. The Customer has the right to withdraw from the contract within 14 days of receiving the goods, without providing any reason.

    9.2. To exercise the right of withdrawal, the Customer must notify Key Optical Europe S.r.l. within 14 days of delivery by explicit statement (e.g., by post, fax, or email) or by using the specific return section on the Site and following the instructions under “Product Warranty, Returns and Refunds – How to make a return”.

    9.3. To meet the withdrawal deadline, it is sufficient to send the communication before the 14-day period expires.

    9.4. If the Customer withdraws from the contract, Key Optical Europe S.r.l. will refund all payments received, excluding shipping costs, without undue delay and no later than 14 days from receiving the withdrawal notice. Refunds will be made using the same payment method used by the Customer, unless otherwise agreed. The refund may be withheld until the goods are returned or until the Customer provides proof of shipment.

    9.5. The Customer must return the Products to Key Optical Europe S.r.l., Località la Torre 14h, 50038 Scarperia e San Piero (Florence), within 14 days from the withdrawal notice. The deadline is met if the goods are shipped before the end of the 14-day period. Return shipping costs are borne by the Customer. The Customer is responsible for any diminished value of the goods resulting from handling beyond what is necessary to verify their nature, characteristics, and functioning.

  10. Product Conformity

    10.1. The Products offered on the Site comply with national and EU legislation.

    10.2. If Products do not match their description or are faulty, the Customer is entitled to an immediate refund upon submission of documentation via the form in the Customer Service section of the Site. Refunds may be issued as discounts for future purchases. Key Optical Europe S.r.l. assumes no further liability.

    10.3. Legal provisions on conformity and consumer rights under the Consumer Code (Legislative Decree 206/2005, Part IV, Articles 102–135) and Legislative Decree no. 21/2014 remain applicable.

  11. Personal Data Processing

    Customer data is processed by Key Optical Europe S.r.l. in compliance with current data protection regulations, as described in the "Legal Information and Privacy" section of the Site.

     

  12. Communications and Complaints

    All communications or complaints from Customers regarding Purchase Agreements must be sent by email to Customer Service.

  13. Intellectual Property Rights

    All trademarks (registered or not), intellectual property works, distinctive signs or names, images, texts, graphics, and any other intangible assets protected by intellectual property laws reproduced on the Site remain the exclusive property of Key Optical Europe S.r.l. and/or their respective owners. Accessing the Site or entering into a Purchase Agreement does not grant any rights to the Customer. Any use, even partial, without prior written authorization is prohibited.

  14. Applicable Law and Jurisdiction

    14.1. These General Conditions and any contracts concluded with the Customer are governed by Italian law, without prejudice to the applicability of EU regulations and international treaties, where applicable, and national consumer protection laws.

    14.2. For any dispute relating to the interpretation, execution, validity or effectiveness of these General Conditions and any contract concluded with Customers, the exclusive jurisdiction lies with the Court of Florence, Italy.
